for sales by So Paris to professionals

The General Terms and Sales Conditions ("terms and conditions") stipulated below govern the sales of products to private individuals ("Customer" or "Customers") by So Paris on their website (www.so-paris.com www.so-paris.fr, www.soparis.com ou www.soparis.fr).

Article 1. Scope
Placing an order implies the full and complete acceptance of these terms and conditions, which are accessible at all times on the Internet site and in particular at the time of order registration.

These terms and conditions constitute the only agreement between the parties and override any other document.

The terms and conditions are subject to modification at any time. New versions of the terms and conditions are applicable to all orders as soon as they are made available on the site.

It is the Customer's responsibility to ensure that he has the most up-to-date version of the terms and conditions to place its order.

Article 2. Order validation
To place an order, the Customer selects products, puts them in his basket and then validates his selection. The Customer states to have acknowledged and accepted the present terms and conditions before he confirms his selection as an order. The subsequent confirmation of the order implies acceptance of these terms and conditions, as well as acceptance that So Paris's order registration system represents proof of the transaction and the date on which it took place.

Contractual information is presented in both French and English and will be the subject of a printable e-mail confirmation sent per So Paris and detailing the order. The confirmation will be received within 2 days of placing the order.

The sale will only be considered final once the order confirmation has been sent and payment of the full purchase price has been received.

Article 3. Delivery Times and Delays
The products are delivered to the delivery address indicated by the Customer during the order process. The delivery times indicated during ordering are averages and correspond to the time needed for the treatment and delivery of the products to various zones.
Delivery times are given as an indication. Should actual delivery times be longer, this is not a valid reason to claim damages, refuse delivery or cancel an order. However, should a product remain undelivered to the Customer within thirty (30) days after the delivery date stated in the Customer's confirmation e-mail for any reason other than force majeure, then the Customer or So Paris will be entitled to cancel the sale. The Customer will be reimbursed for the undelivered product.

In the event of an order containing two (2) or more products with different availabilities, and thus different delivery times, the delivery time of the full order is understood to be that of the product in the order that has the longest delivery time.

Nevertheless, if the Customer wishes to receive products he purchases more quickly, it is possible to place two or more separate orders. However, the extra delivery costs incurred are at the Customer's expense.

So Paris cannot be held responsible for delays encountered in the execution of deliveries or other services that are caused by events independent of So Paris's will, and in particular: strikes, terrorist acts, wars, problems affecting So Paris's suppliers, transporters or manufacturers, acts of public or foreign authorities, or natural disasters.

It is the Customer's responsibility to report -upon receipt of products- all observations to the transporter in the event of loss of, or damage to, the product during transport. These observations must be made on the transport documents by describing the damage observed, dated and signed. If not,a confirmation of the damage or loss must be made via registered letter within three (3) days following the delivery.

The Customer may apply the refund conditions as detailed in Article 8 of these terms and conditions. Failure to observe this procedure commits the Customer to the purchase.

Article 4. Availability
Products and prices are valid as long as they are visible on the site, within the limit of available stocks.

If a product is being stocked or restocked, the date of availability of the product will be indicated on the website. The Customer will be able to either to confirm his order by considering the extended delivery time, or to modify his order. If a product remains out-of-stock, So Paris is committed to offering its Customers a product of similar quality to replace the unavailable product. Article 5. Price - Terms of Payment
So Paris reserves the right to modify its prices at any time, but products will be invoiced on the basis of the prices that are effective at the time of the reception of the orders, subject to availability.

Delivery costs are billed in addition to the product prices.

- For European Union countries: Prices are shown in Euros and include French Value Added Tax (VAT) and packaging, but exclude preparation and delivery costs.
Preparation and delivery costs are detailed in the total amount.

For an order placed by a Customer in a country other than European countries, or Dom Tom:

The Customer is the importer of the concerned product or products. For all products shipped out of the European Union and DOM-TOM, prices will be calculated automatically net of tax on the invoice. Customs duties or other local taxes, state taxes or importation duties may be required. These duties and taxes do not concern So Paris. Declarations and payments of said duties and taxes to the qualified authorities of the recipient country are the sole responsibility of the Customer. The Customer is advised to get information about these aspects from the local authorities.

Some countries require special procedures or prohibit the importation of some products. It is the Customer's responsibility to obtain information about the legal provisions specific to the countries in which they wish to import the product or products they purchase. It is Customer's responsibility not to import products that are prohibited from import.

All products remain the property of So Paris until the full payment has been received.
The Customer's purchases can only be paid for by credit card (Carte Bleue, Visa, Eurocard/Mastercard) at the time of order placement. The Customer's credit card is debited at the moment of the secure transaction in the currency listed in the order.

The Customer's purchases are fully secured; the bank details that the Customer transmits on line to a qualified bank are confidential and performed in a secure environment (SSL protocol). Credit card numbers are not conserved on So Paris's site, but rather on the site of the secure bank establishment.

Article 6. Satisfaction or Refund
The Customer has ten (10) days from the date he receives the product to return it if he is not satisfied with the product.

The costs incurred by both initially receiving and then returning the product will be the Customer's responsibility. Only the product price will be refunded under the conditions described in Article 9. All returns are to be made to So Paris at with the following address:

In the event that the Customer returns the product, So Paris requires that he do so with the product and its original packaging materials included in their original condition, together with a copy of the invoice. Failure to meet these requirements will result in the refusal of the returned merchandise.

In the event that So Paris refuses a returned product, So Paris will contact the Customer in order to determine the method of re-sending or destroying the product. The costs thus incurred will remain at the Customer's expense. So Paris will keep returned products in stock for no longer than two (2) months.

Article 7. Conformity - Returns
In the event of non-conformity of a product, or of defective or damaged products (not due to delivery), the Customer must inform So Paris in a detailed, written document within ten (10) days after the delivery date.
Beyond this 10 day period, complaints of nonconformity will not be accepted.
Any return of non-conform or defective products will be subject to approval by So Paris. If the return is approved, So Paris will attribute a return number to the Customer and inform the Customer of the address to which the non-conform or defective product(s) should be sent.

The costs incurred for returning non-conform or defective products will be refunded on the basis of the amount invoiced. These costs may be advanced by the Customer, to be refunded upon reception of documents proving the costs. The risks involved in returning non-conform or defective products are at the expense of the Customer.

At the Customer's choice, So Paris will proceed in the exchange or refund of the defective product. The Customer benefits from legal warrantees and in particular those relating to the warranty regarding hidden defects.

The clauses in this Article do not prohibit the Customer from exercising his right to return the product for a refund if not satisfied, according to Article 6.

Article 8. Refund Methods
Product refunding based on the assumptions elaborated in Articles 6 and 7 of these terms and conditions will be made without delay and, at the latest, within thirty (30) days after So Paris receives a returned product.

Refunding will be executed at the discretion of So Paris, either as a credit to the bank account of the Customer or by a bank check addressed to the Customer at the invoicing address.

Article 9. Intellectual and industrial property
All texts, comments, presented models, illustrations, photographs, pictures and images reproduced on the So Paris website are reserved as registered copyright and, in general, as intellectual and industrial property, on worldwide level. Any total or partial reproduction of the So Paris Website is strictly prohibited.

Article 10. Responsibility - Guarantee
The products offered by So Paris comply with current French legislation. They are crafted with So Paris's know-how and conform to So Paris's quality standards.

We cannot be held responsible for the possible differences in colour between the screen representation of the product and the actual product.

Leather is a noble, living substance. The differences in texture or appearance are normal within a product or a range of products. The scars, irregularities, natural marks, and color variations, which one can observe in the So Paris products are inherent to leather and cannot be considered as flaws.

The So Paris guarantee does not cover normal wear and tear, effects related to inadequate maintenance, scratches, accidental damage or damage caused by the use of a solvent or the abnormal or negligent use of the product.

The photographs of the products are displayed on a purely illustrative basis. The Customer is invited to refer to the description of each product for the precise characteristics of each product. So Paris is responsible only for the contents of the pages, which it publishes. In the event of proclaimed error between the characteristics of the product and its actual representation and/or the conditions of sale, So Paris cannot be held responsible.
So Paris is not responsible for any indirect damages, trading losses, loss of profit, loss of luck, or expenses, which may come about due to the purchase of its products.

So Paris will not compensate or refund any Customer based on the total or partial inability to use their products due to an intolerance of the material. So Paris cannot be held responsible for such intolerances. The contractual guarantee is limited to the refund or replacement of the products. However, the Customer benefits from legal warrantees and in particular those relating to the warranty regarding hidden defects.

Article 11. Data Processing, Files and Freedoms
The Customer's personal data is required to process his order, and will at no time be sold, commercialised or rented to third parties. However, after the Customer's approval, his personal data can be used for purpose of mailing the So Paris newsletter.

The Customer has the right to access, modify, rectify and refuse access to his personal data, in accordance with the Data Processing, Files and Freedoms law of January 6, 1978. In order to do so, the Customer is asked to please send an e mail to: Contact.so-paris@wanadoo.fr, together with his e-mail address and complete postal address.

Article 12. Applicable legislation - claims
So Paris reserves the right to cancel all orders from Customers with whom there is an existing claim regarding the payment of a previous order.

The present terms and conditions, the order and all acts following thereof, are subject to French law. In the event of a litigation claim or of an out-of-court settlement, the French Tribunals are the only competent body.

In the event of a difference in interpretation between French and English texts of the terms and conditions, the French text will be considered as the referent text.
